By accessing or using a Website, you agree to be bound by these Terms. If you do not agree, you should not use the relevant Website. GRCNest, NexGenQE, Talenaise and the Consent Management Platforms available at www.dpdpaconsent.in are Pion Global platforms, while PIEDAP is Pion Global's Enterprise Ecosystem. Use of a Pion Global platform, the PIEDAP Enterprise Ecosystem, an application, API, SaaS module, support portal, trial, proof of concept, customer environment or paid service may be governed by platform-specific, ecosystem-specific terms and a separate commercial agreement.

You may use the Website only if you have legal capacity to enter into a binding agreement under applicable law. If you access or use the Website on behalf of a company, institution or other organisation, you represent that you are authorised to accept these Terms on its behalf.

The Website is primarily intended for business and professional audiences. It is not directed to children and is not intended to be used by individuals who lack legal capacity to agree to these Terms.

Pion Global is a technology, consulting and engineering company. Website content may describe our enterprise solutions, professional and engineering services, and proprietary platforms including GRCNest, NexGenQE, Talenaise and the Consent Management Platforms available at www.dpdpaconsent.in. These platforms are connected through Pion Global's PIEDAP Enterprise Ecosystem. Descriptions of features, capabilities, integrations, roadmaps, frameworks, screenshots, demonstrations, case studies, metrics, benchmarks, business outcomes or future functionality are provided for general information and evaluation. They are not warranties, commitments or service levels unless expressly included in a separate written agreement signed by Pion Global.

Actual results may vary based on customer environment, scope, implementation, data quality, process maturity, integrations, adoption, configuration and other factors.

Subject to these Terms, Pion Global grants you a limited, revocable, non-exclusive, non-transferable right to access and use the Website for lawful informational, evaluation and business purposes.

You may download or print publicly available materials for your own internal, non-commercial evaluation or reference, provided that you:

• do not remove copyright, trademark, attribution or other proprietary notices;
• do not modify the materials in a way that is misleading or suggests Pion Global endorsement;
• do not republish, resell, license or commercially exploit the materials without written permission; and

Pion Global, GRCNest, NexGenQE, Talenaise, PIEDAP, the branding associated with www.dpdpaconsent.in and associated names, marks, logos and designs may be trademarks or proprietary identifiers of Pion Global or its licensors. GRCNest, NexGenQE, Talenaise and the Consent Management Platforms at www.dpdpaconsent.in are Pion Global platforms; PIEDAP is Pion Global's Enterprise Ecosystem. No licence or right to use any such mark is granted except as expressly permitted in writing.

Nothing in these Terms transfers ownership of any intellectual property to you. All rights not expressly granted are reserved.

Pion Global may make brochures, reports, white papers, templates, case studies, presentations, videos or other resources available for download or viewing. Unless a resource states otherwise, it is provided for informational and internal business evaluation purposes only.

You may quote limited portions with appropriate attribution where permitted by law, but you may not reproduce a resource substantially, remove ownership notices, sell it, present it as your own, or create misleading derivative materials without permission.

Where you submit a form or request communications, you authorise Pion Global to respond electronically using the contact information you provide. Marketing communications are subject to applicable law and available opt-out mechanisms.

These Terms do not replace privacy notices or consent requirements that apply under data-protection law.

Pion Global develops and offers AI-enabled technologies. Website descriptions, demonstrations or examples of AI-enabled capabilities are provided for information and evaluation and may change as technologies evolve.

AI-generated or AI-assisted outputs can be probabilistic, incomplete or context-dependent. Unless expressly stated in a separate written agreement, Pion Global does not warrant that AI-enabled outputs will be error-free, complete, suitable for a particular regulated decision or a substitute for qualified professional judgment.

Customers using contracted AI-enabled platforms, ecosystem capabilities or services should follow the applicable platform or service documentation, governance controls, human-review requirements and customer agreement.

The Website may contain links to third-party websites, embedded content, partner resources, social-media services or references to third-party technologies and integrations. Third-party services are operated independently and may be subject to their own terms, privacy notices and security practices.

A reference to a third-party company, technology, integration or logo does not by itself imply sponsorship, certification, partnership or endorsement unless Pion Global expressly states otherwise.

Pion Global is not responsible for the availability, accuracy, security, content or practices of independently operated third-party websites or services.

Pion Global may modify, suspend, restrict or discontinue all or part of the Website, content or features at any time, including for maintenance, security, legal or business reasons.

We use reasonable measures intended to support Website security and integrity, but no website or internet transmission can be guaranteed to be completely secure, uninterrupted or error-free.

To the fullest extent permitted by applicable law, Pion Global and its affiliates, directors, officers, employees, contractors and agents will not be liable for indirect, incidental, special, exemplary, punitive or consequential losses arising from or related to use of, inability to use, or reliance on the Website.

These limitations apply only to Website use under these Terms. Liability relating to a paid platform, PIEDAP Enterprise Ecosystem capability or service is governed by the applicable customer agreement. Nothing in these Terms limits liability to the extent it cannot be limited under applicable law.

You are responsible for losses, claims, costs or liabilities arising from your unlawful or unauthorised use of the Website or your material breach of these Terms.

To the extent permitted by applicable law, you agree to indemnify and hold harmless Pion Global and its affiliates, officers, employees and agents from third-party claims arising from your unlawful use of the Website, infringement of third-party rights, or content you knowingly submit in violation of these Terms.

Pion Global may restrict, suspend or terminate access to the Website where reasonably necessary to protect security, enforce these Terms, comply with law, prevent misuse or protect Pion Global, its customers, users or third parties.

Where practical and appropriate, Pion Global may provide notice, but is not required to do so where immediate action is reasonably necessary for security, legal or operational reasons.

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict-of-law principles.

Subject to any mandatory rights or jurisdiction that cannot legally be excluded, the courts of competent jurisdiction in Bengaluru, Karnataka, India will have exclusive jurisdiction over disputes arising from or relating to these Terms or use of the Website.

22.1 Severability
If any provision of these Terms is held invalid, unlawful or unenforceable, that provision will be interpreted or limited to the minimum extent necessary, and the remaining provisions will continue in effect.

22.2 No Waiver
A failure or delay by Pion Global to enforce a provision does not waive that provision or any other right.

22.3 Assignment
You may not assign or transfer rights or obligations under these Terms without Pion Global's prior written consent. Pion Global may assign these Terms in connection with a corporate reorganisation, merger, acquisition, sale of assets or similar transaction, subject to applicable law.

22.4 Relationship
Nothing in these Terms creates a partnership, joint venture, agency, employment, franchise, fiduciary or representative relationship between you and Pion Global.

22.5 Entire Terms for Website Use
These Terms, together with policies expressly incorporated by reference, govern ordinary use of the public Websites. They do not supersede a more specific platform, ecosystem or commercial agreement. Unless a signed agreement states otherwise, the following order of precedence applies for the relevant subject matter: (1) signed master agreement / subscription agreement / statement of work; (2) applicable order form; (3) Data Processing Agreement for Customer Personal Data; (4) platform-specific or ecosystem-specific Terms of Use or Acceptable Use Policy; (5) these corporate Website Terms; and (6) general platform, ecosystem and website documentation.
